VAP Programme Terms and Conditions
Rules applicable to registration, approval and use of the members' area by Tradin Portugal VAP partners.
Version 1.0 · Last updated: 19 August 2026
By completing registration, applicants declare that they have read, understood and accept these Terms and Conditions. Applying and accepting the Terms do not guarantee automatic approval or, in themselves, confer commercial, territorial or financial rights.
1. Purpose and scope
These terms govern applications to and participation in Tradin Portugal's VAP, Value Added Partner, programme. The programme is intended for professional partners who support the creation and supervision of sellers and stores, catalogue preparation, training, commercial qualification and other authorised activities on the platform.
2. Eligibility, application and approval
- Applicants must act in the course of a professional or business activity and provide complete, truthful and up-to-date details.
- Tradin Portugal may request documents relating to identification, representation, tax status, experience or operational capacity as necessary for assessment.
- Access to AdminVAP2 depends on email confirmation and central approval. Tradin Portugal may approve, refuse or request additional information based on security, compliance, quality and suitability criteria for the programme.
- Approval is specific to the registered entity and may not be transferred without written authorisation.
3. Nature of the relationship
The VAP acts as an independent professional. Registration does not create an employment relationship, partnership, agency, franchise, mandate, exclusivity or legal representation of Tradin Portugal. Unless specifically authorised in writing, the VAP may not assume obligations, enter into contracts, receive funds or make binding statements on behalf of Tradin Portugal.
4. Permitted activities and limits
Within the permissions granted, the VAP may support associated sellers, assist with store configuration, prepare and standardise content and catalogues, provide training and operational support and follow up business opportunities. The VAP may access only the stores, sellers and data legitimately assigned to them.
The VAP may assess applications from associated sellers and authorise their access to StoreCP where that function is available. Publication of products on the central marketplace remains subject to validation by the central administration. Products that a store keeps outside the marketplace are subject to the visibility and access rules defined by the store and the platform.
5. VAP obligations
- Comply with the law, these terms, published policies and the platform's security and operational instructions.
- Act loyally, diligently, transparently and with respect for sellers, buyers and other users.
- Do not create false identities, provide misleading information, simulate approvals, manipulate reviews, send unsolicited communications or promote unlawful goods and services.
- Confirm that you are authorised to enter or process third-party content, trademarks, images, data and documentation.
- Promptly report fraud, conflicts of interest, misuse, data breaches or security risks.
- Keep the business and contact person's details up to date.
6. Account, credentials and security
The VAP is responsible for the confidentiality of credentials and activity carried out through their account, except for misuse for which they are not responsible. Credentials must not be shared. Any suspicion of unauthorised access must be reported immediately. Tradin Portugal may require a password change, additional authentication or other proportionate security measures.
7. Sellers, stores, products and content
Each seller or store remains responsible for their products, prices, availability, commercial information, tax obligations, customer service, delivery, warranties and after-sales service. Support provided by the VAP does not transfer those responsibilities to Tradin Portugal. The VAP must seek to ensure that the data they prepare is accurate and that content does not infringe third-party rights.
Owners retain the rights to their content. To the extent necessary to operate and promote the platform, the VAP warrants that permission exists to host, reproduce, technically adapt and display the submitted content, without transferring ownership.
8. Personal data and confidentiality
Personal data is processed in accordance with the Privacy Policy. The VAP must limit access to and use of data to authorised purposes, apply appropriate security measures, respect data subjects' rights and not retain, copy, disclose or reuse data beyond what is necessary. Non-public commercial, technical or operational information must remain confidential, even after participation in the programme ends.
9. Commercial terms
Registration in the programme does not automatically confer commissions, remuneration, an exclusive territory, a minimum number of opportunities or entitlement to special prices. Commissions, retainers, services, invoicing, targets and other commercial terms take effect only when set out in a quotation, applicable schedule or written agreement accepted by the parties.
10. Service availability and development
Tradin Portugal seeks to ensure the platform's availability and security, but may carry out maintenance, correct faults, change features or temporarily restrict services for technical, legal or security reasons. Uninterrupted operation is not guaranteed, without prejudice to applicable legal obligations.
11. Restriction, suspension and termination
Access may be restricted or suspended in the event of a breach of these terms, security risk, fraud, legal non-compliance, false information, abusive use, an undisclosed conflict of interest, prolonged inactivity or a need to protect users and the platform. Where appropriate and legally possible, reasons will be provided and an opportunity given to clarify or remedy the situation.
The VAP may request termination of participation using the contact details provided on the website. Following termination, access to the members' areas ends and the VAP must return or delete confidential information and data they have no basis to retain. Retention by the platform is governed by the Privacy Policy, legal obligations and the periods necessary to defend rights.
12. Changes to the terms
The terms may be updated to reflect legal, technical, security or programme changes. Where a change materially affects the relationship, it will be communicated on a durable medium with reasonable advance notice and, where applicable, not less than 15 days. Urgent changes required by law or necessary to address unforeseen security risks may take effect before that period. Fresh acceptance will be requested where necessary.
13. Liability
Each party is liable for damage attributable to it under the law. Tradin Portugal is not a party to contracts concluded between sellers and buyers and is not responsible for performance of those parties' own obligations, without prejudice to liability that cannot lawfully be excluded. The VAP is responsible for their conduct, for services they contract directly and for unauthorised use of content or data attributable to them.
14. Applicable law, support and resolution of issues
These terms are governed by Portuguese law and directly applicable European Union law. Issues should be raised through the contact channels provided on the website, seeking a solution in good faith. In the absence of agreement, the Portuguese courts determined by law have jurisdiction, without prejudice to applicable mandatory rules.
15. Acceptance
By selecting the acceptance checkbox and submitting the application, applicants confirm that they have the capacity and authority to bind the stated entity, accept the version of these terms available on that date and acknowledge that the Privacy Policy is a separate, complementary document.
